Terms and Conditions

These following Terms and Conditions (“Terms”) govern your use of  Crearte (“Website”) operated by The Crearte Foundation (“Organization”). By accessing or using the Website, you agree to be bound by these Terms. If you are in disagreement with any part of the following Terms, you must not access or use the Website.

1. Intellectual Property

The content, design, and functionality of the Website are the property of the Organization and are protected by intellectual property laws. You may not reproduce, distribute, modify, or otherwise use any part of the Website without the Organization’s prior written consent.

2. User Content

You may be able to submit content to the Website, including comments, reviews, profile pages or other materials (“User Content”). By submitting User Content, you grant the Organization a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

3. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws or regulations
  • Interfering with or disrupting the Website or servers
  • Impersonating another person or entity
  • Collecting or harvesting any personally identifiable information from the Website
  • Engaging in any conduct that restricts or inhibits any other user from using the Website

4. Disclaimer of Warranties

The Website is provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied. The Organization does not warrant that the Website will be error-free or uninterrupted, that defects will be corrected, or that the Website is free of viruses or other harmful components.

5. Limitation of Liability

The Organization shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Website. In no event shall the Organization’s total liability exceed the amount paid by you, if any, for accessing the Website.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Québec, Canada, without regard to its conflict of law provisions.

7. Changes to Terms

The Organization reserves the right to update or revise these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Website.

Special Project Terms

1. Parties

  • Artist: the person submitting the artwork 

  • Organisation / Nonprofit: The Crearte Foundation for Art-Science Innovation

2. Grant of Licence

  • The Artist hereby grants the Organisation a non‑exclusive, worldwide, royalty‑free licence to reproduce and distribute the submitted artwork as part of the 2026 printed calendar. WIPO+1

  • The permitted uses include:

    • Reproduction of the artwork in the calendar (print).

    • Distribution and sale of the calendar (for nonprofit fundraising).

    • Use of the artwork in promotional materials related to the calendar project (previews on web, social media, flyers, etc.), if applicable (only if Artist consents).

3. Rights Reserved by the Artist

  • The Artist retains all copyright and moral rights over the artwork. wonder.legal+1

  • The licence is non-exclusive: the Artist remains free to reproduce, license, sell, exhibit, or otherwise use the artwork independently and for any other purpose. WIPO+1

  • The Organisation will always credit the Artist by name (or chosen pseudonym) when reproducing the artwork.

4. Attribution & Integrity

  • The Organisation agrees not to alter, crop or modify the artwork in any way that would misrepresent it without prior written consent from the Artist.

  • The artwork will be reproduced with proper attribution (Artist name, artwork title, year / medium — if provided) in the calendar and in any promotional materials.

5. Format, Territory & Duration

  • Format: Use is restricted to the 2026 calendar edition (print) and associated promotion.

  • Territory: The licence applies worldwide.

  • Duration: The licence remains valid for the lifetime of the rights to the artwork — but only for the purposes described above (calendar edition and promotion). After that, any further use (e.g. merchandising, posters, re‑prints) requires additional agreement. WIPO+1

6. Consideration

  • There is no monetary compensation. Instead, the “consideration” for the licence is the participation in the collaborative calendar project and the provision of one free printed copy of the calendar to each participating Artist.

7. Warranties & Artist Representations

  • The Artist guarantees that they are the sole creator and rightful holder of all rights to the submitted artwork, and that the artwork does not infringe any third‑party rights.

  • If the artwork includes third‑party elements (e.g. photos, text, references), the Artist confirms that all necessary permissions / licenses have been secured.

8. Indemnification

  • The Artist agrees to indemnify and hold harmless the Organisation against any claims, damages or liabilities arising from breach of these warranties (e.g. copyright infringement, moral‑rights violation, third‑party claims).

9. Delivery & Technical Requirements

  • The Artist will provide the artwork in a suitable, high-resolution digital format (as agreed), with correct colour / size / resolution for print reproduction.

  • The Artist will also submit metadata: title, medium, year, and optionally a brief description or artist statement.

10. Withdrawal / Termination

  • The Artist may withdraw their artwork from consideration before printing, by written notice, without penalty.

  • Once the calendar is printed, the licence remains valid for that edition; but if the calendar is not published (for any reason), the licence terminates.

11. Additional Notes & Conditions

  • This licence does not grant rights to create merchandise (posters, mugs, t‑shirts, etc.) or other products using the artwork. Any such use would require separate agreement.

  • The Organisation is not obligated to guarantee a minimum number of copies sold or any commercial success.

  • The free printed copy provided to the Artist is intended solely as a thank-you; it does not constitute payment for rights or a share of profits.

12. Signatures

  • Both parties (Artist and Organisation) agree to the terms and sign with date.
